Terms of Service

These Terms of Service ("Terms") govern access to and use of the Pieces & Parts website, platform, and services (collectively, the "Platform"), operated by phpMyDEV, LLC ("Pieces & Parts," "we," "us," or "our").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Platform Overview

Pieces & Parts is an online marketplace that enables third-party sellers to list parts, components, and related goods for sale and enables buyers to browse and purchase such items.

Pieces & Parts acts solely as a marketplace facilitator and platform provider. We do not manufacture, own, inspect, warehouse, or resell listed items unless explicitly stated otherwise.

2. Eligibility & Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Platform.

You are responsible for maintaining the accuracy and security of your account credentials and for all activity conducted through your account.

3. Seller Responsibilities

Sellers are solely responsible for:

• Listing accuracy, descriptions, pricing, and availability
• Inventory management and fulfillment
• Packaging, shipping, warranties, and returns (unless otherwise stated)
• Compliance with all applicable laws and regulations
• Customer service obligations related to their listings

Pieces & Parts does not guarantee sales volume, listing visibility, or buyer demand.

4. Fees & Payments

Marketplace Fees

Pieces & Parts charges sellers a marketplace facilitation fee equal to 3.5% of the gross transaction amount for each completed sale made through the Platform. The facilitation fee is deducted at the time the transaction is processed.

Payment Processing

Payment processing is provided by a third-party payment processor (currently Stripe). Processing fees assessed by the payment processor are passed through at cost. Pieces & Parts does not set, control, or mark up payment processing fees.

No Additional Fees

At this time, Pieces & Parts does not charge:

• Monthly subscription fees
• Listing fees
• Minimum usage fees

Fees may change in the future with notice, as described in these Terms.

5. Taxes

Tax treatment varies by jurisdiction. Where required by applicable law, Pieces & Parts (operated by phpMyDEV, LLC) may calculate, collect, and remit sales, use, value-added, or similar transaction taxes on marketplace-facilitated sales.

In jurisdictions where Pieces & Parts is not required to collect such taxes, sellers are responsible for determining, collecting, reporting, and remitting applicable taxes.

Sellers are responsible for providing accurate item, pricing, and tax-related information and for compliance with all applicable tax laws related to their business and any off-platform sales.

6. Orders, Payments & Payouts

Buyers authorize payment at checkout. Funds are processed through the payment processor and routed to sellers' connected accounts, less applicable fees and taxes.

Pieces & Parts is not responsible for delays caused by payment processors, banks, or external systems.

7. Returns, Refunds & Disputes

Return and refund policies are set by individual sellers unless otherwise stated. Sellers are responsible for handling returns, refunds, and buyer disputes related to their items.

Pieces & Parts may, but is not obligated to, assist in dispute resolution and may take reasonable action to enforce platform policies.

8. Prohibited Conduct

You agree not to:

• List illegal, unsafe, or prohibited items
• Misrepresent items or engage in deceptive practices
• Circumvent platform fees or payment systems
• Interfere with platform security or operations
• Violate applicable laws or third-party rights

Pieces & Parts may suspend or terminate accounts for violations.

9. Intellectual Property

The Platform, including its software, design, trademarks, and content (excluding seller-provided content), is owned by or licensed to phpMyDEV, LLC.

Sellers grant Pieces & Parts a non-exclusive, worldwide license to display and promote seller content solely for marketplace operations.

10. Disclaimers

Pieces & Parts does not guarantee uninterrupted service, error-free operation, or transaction outcomes.

11. Limitation of Liability

To the maximum extent permitted by law, Pieces & Parts and phpMyDEV, LLC shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or business interruption.

Total liability, if any, shall not exceed the fees paid to Pieces & Parts by the affected party in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Pieces & Parts and phpMyDEV, LLC from claims arising out of your use of the Platform, your listings, transactions, or violation of these Terms.

13. Termination

We may suspend or terminate access to the Platform at any time for violations of these Terms or for operational or legal reasons.

Upon termination, applicable obligations and limitations survive.

14. Changes to These Terms

We may update these Terms from time to time. Changes will be effective upon posting. Continued use of the Platform constitutes acceptance of updated Terms.

15. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles.
